1. Agreement to Terms
By accessing stalindsouza.com or engaging Stalin Dsouza for digital builds, AI automation sprints, or ongoing retainers, you agree to be bound by these Terms and Conditions.
2. Scope of Services & Sprints
All services are provided on a fixed-scope or retainer basis as outlined in the agreed Statement of Work (SOW) or proposal. Deliverable timelines (e.g., 36-hour website builds, 48-hour Shopify builds, or 14-day AI MVP sprints) commence once all required client assets and credentials have been received.
3. Intellectual Property Rights
Upon full settlement of all contracted milestone invoices, 100% ownership of the custom code, design assets, and workflows created specifically for the client is assigned directly to the client. Pre-existing proprietary libraries, frameworks, or third-party open-source components remain licensed under their respective terms.
4. Payment Terms & Invoicing
Sprint projects typically require a 50% deposit prior to scheduling commencement, with the remaining 50% payable upon delivery and verification against the agreed specification. Ongoing monthly retainers are invoiced at the beginning of each billing period.
5. 30-Day Dedicated Support Scope
Every custom build includes 30 calendar days of free dedicated technical support starting from handover date. This covers bug fixes, configuration adjustments, and operational guidance related to the contracted scope. New feature requests outside the original scope are quoted separately.
6. Limitation of Liability
To the maximum extent permitted by law, Stalin Dsouza shall not be liable for indirect, consequential, or punitive damages resulting from third-party API downtimes, payment gateway outages, or customer store policy violations. Total liability is strictly limited to the amount paid for the specific service under dispute.
7. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.
